BYLAWS OF THE NORTH AMERICAN VEXILLOLOGICAL ASSOCIATION

CHAPTER 3. MEMBERSHIP


§ 3.01. Qualifications.

(a) Membership is open to all persons who are interested in vexillology and subscribe to these bylaws.


§ 3.02. Classes of membership.

(a) There shall be four classes of membership: active, associate, organizational, and honorary.


§ 3.03. Active members.

(a) Active membership shall be open to any individual eighteen years of age or older.
(b) Active members shall have all the privileges of the association, including attendance at meetings, voting, holding office, and serving on committees.


§ 3.04. Associate members.

(a) Associate membership shall be open to:
(1) spouses of active members;
(2) individuals under the age of eighteen; and
(3) full-time college or university students.
(b) Associate members shall have all the privileges of the association except voting and holding elective office.


§ 3.05. Organizational members.

(a) Organizational membership shall be open to any for-profit or nonprofit organization.
(b) Organizational members shall be entitled to designate in writing to the treasurer any one individual, including an individual who is also an active, associate or honorary member, to represent the organization in the affairs of the association and to change that designation at will.
(c) Organizational members shall have all the privileges of the association except holding elective or appointive office.


§ 3.06. Honorary members.

(a) Honorary membership shall be open to any individual.
(b) Honorary members shall have the title conferred upon them for rendering distinguished service to the association.
(c) Honorary members shall be entitled to all the privileges of the association except voting and holding office.
(d) Honorary members may become active or associate members in addition to their honorary membership if they meet the requirements for those membership categories. Such members shall be entitled to all the privileges of their respective membership category.


§ 3.07. Term of membership.

(a) Active, associate, and organizational membership shall be granted by:
(1) action of the executive board; and
(2) payment of the current year's dues.
(b) Active, associate, and organizational membership is effective on the date of the executive board's action.
(c) The executive board may delegate its power to act on membership applications.
(d) Honorary membership may be conferred by the executive board, upon recommendation of the membership committee.
(e) Once accepted, membership continues as long as the member's dues payment is current, or until the resignation or death of the member, or until his/her membership is revoked for cause.


§ 3.08. Resignation.

(a) A member may resign by filing a written resignation with the treasurer.
(b) The resignation is effective upon receipt by the treasurer.


§ 3.09. Revocation for cause.

(a) Membership may be revoked for good cause by action of the executive board approved by action of two-thirds of the voting members.
(b) Such revocation is effective on the date of the action of the voting members.


§ 3.10. Termination of membership.

(a) Upon termination of membership, any right, title, or interest of the member in or to the property and assets of the association shall cease.


§ 3.11. Dues.

(a) Annual dues for active, associate and organizational members will be established by action of the voting members. There shall be no annual dues for honorary members.
(b) Dues are payable on the first day of the calendar year. The secretary or treasurer shall send dues reminders to all members; however, failure to send such reminders shall not eliminate the requirement for payment of dues. To remain in good standing for a given year, the treasurer must receive a member's dues not later than 31 March of that year.
(c) If a new member joins the association after the annual meeting, but before 31 December of the corresponding year, his/her initial dues will cover membership though 31 December of the following year.
(d) If a membership has lapsed because of non-payment by the 31 March cutoff date, the member may reinstate his/her membership by remitting annual dues to the treasurer and receive benefits and privileges as would a new member.
(e) The executive board may establish a mailing surcharge to the dues of members residing outside the United States, Canada and Mexico to cover the cost of association mailings.
(f) The executive board may establish policies and rates for subscriptions by non-members to the association's publications.
